Agreement Overview
These Terms of Service ("Terms") govern your use of Sprout Diary, a family journaling application operated by CORDOC LLC ("Company", "we", "us", or "our"). By accessing or using our service, you agree to be bound by these Terms.
1Acceptance of Terms
By creating an account, accessing, or using Sprout Diary, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our service.
2Description of Service
Sprout Diary is a digital family journaling platform that allows families ("Pods") to create shared journals, document memories, and preserve family stories. Our service includes:
- Shared journal creation and management
- Rich text editing with templates
- Image upload and storage capabilities (Pro feature)
- PDF export functionality (Pro feature)
- Custom template creation (Pro feature)
- Family member management and permissions
3User Accounts and Eligibility
3.1 Account Creation
To use Sprout Diary, you must create an account through our authentication provider, Clerk. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Age Requirements
Sprout Diary is intended for family use. Pod administrators must be at least 18 years old. Children may use the service under the supervision and consent of their parent or legal guardian who serves as the Pod administrator.
3.3 Account Responsibility
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
4Pod Structure and Permissions
4.1 Pod Administration
Each Pod has one administrator who is responsible for:
- Managing Pod membership and invitations
- Setting member permissions (adult/non-adult status)
- Managing subscription and billing
- Ensuring compliance with these Terms
- Moderating content within the Pod
4.2 Member Responsibilities
All Pod members must:
- Respect other family members' privacy and contributions
- Use the service only for its intended family journaling purpose
- Comply with all applicable laws and regulations
- Not share Pod access with unauthorized individuals
5Content and Data
5.1 User Content
You retain ownership of all content you create, upload, or share through Sprout Diary, including:
- Journal entries and text content
- Images and photographs
- Custom templates
- Comments and interactions
5.2 Content License to Us
By uploading content to Sprout Diary, you grant CORDOC LLC a limited, non-exclusive, royalty-free license to store, process, and display your content solely for the purpose of providing our service to you and your Pod members.
5.3 Image Storage and Processing
When you upload images to Sprout Diary:
- Images are stored securely using Vercel Blob storage
- Images may include photographs of family members, including children
- We process images only to display them within your Pod's journal
- Images are not used for any purpose outside of providing our service
- You represent that you have the right to upload and share all images
5.4 Content Guidelines
You agree not to upload, post, or share content that:
- Is illegal, harmful, threatening, abusive, or defamatory
- Violates any third party's rights, including privacy or intellectual property rights
- Contains malware, viruses, or other harmful code
- Is spam or unsolicited commercial content
- Violates any applicable laws or regulations
6Subscription and Billing
6.1 Free and Pro Plans
Sprout Diary offers both free and paid subscription plans:
- Free Plan: Basic journaling features with limitations
- Pro Plan: Advanced features including image uploads, PDF export, and custom templates
6.2 Pod-Wide Benefits
When a Pod administrator subscribes to a Pro plan, all members of that Pod receive access to Pro features. Only the Pod administrator can manage the subscription.
6.3 Billing and Payments
Subscription billing is handled through Clerk's payment processing system. By subscribing, you agree to:
- Pay all applicable fees and taxes
- Provide accurate billing information
- Authorize automatic recurring charges
- Update payment information as needed
6.4 Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods.
7Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8Intellectual Property
8.1 Our Rights
Sprout Diary, including its design, features, and underlying technology, is owned by CORDOC LLC and protected by intellectual property laws.
8.2 Your Rights
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use Sprout Diary for your personal, family journaling purposes.
9Termination
9.1 Termination by You
You may terminate your account at any time by contacting us or using the account deletion features in your account settings.
9.2 Termination by Us
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.
9.3 Effect of Termination
Upon termination, your access to Sprout Diary will cease, and we may delete your account and associated data in accordance with our data retention policies.
10Disclaimers and Limitation of Liability
10.1 Service Availability
Sprout Diary is provided "as is" and "as available." We do not guarantee uninterrupted or error-free service and may experience downtime for maintenance or other reasons.
10.2 Limitation of Liability
To the maximum extent permitted by law, CORDOC LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption.
11Indemnification
You agree to indemnify and hold harmless CORDOC LLC from any claims, damages, or expenses arising from your use of Sprout Diary, your violation of these Terms, or your violation of any rights of another party.
12Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of Sprout Diary after such changes constitutes acceptance of the new Terms.
13Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

15Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
Important Notice for Parents
As a family journaling service, Sprout Diary may contain images and information about children. Pod administrators are responsible for ensuring they have appropriate consent for all content shared within their Pod and for supervising children's use of the service.
